Terms of Service

These Terms of Service ("Terms") govern your access to and use of Heyo (the "Service"), operated by United Lanes LLC, doing business as HeyoEmail.com ("Heyo," "we," "us," or "our"), a company based in Lincoln, Nebraska. By creating an account or using the Service, you ("Customer," "you") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of These Terms

1.1 By checking the "I agree" box during signup, creating an account, or otherwise accessing or using the Service, you affirmatively acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to both, you must not create an account or use the Service.

1.2 If you are agreeing to these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" and "Customer" refer to that entity.

1.3 Your acceptance is logged (including timestamp) at signup and treated by Heyo as your binding agreement to these Terms in their entirety, including Section 4 (Acceptable Use Policy) and Section 12 (Indemnification).

2. Eligibility and Account Registration

2.1 You must be at least 18 years old and able to form a binding contract to use the Service.

2.2 You must provide accurate registration information and keep it current. You are responsible for all activity that occurs under your account, including activity by team members you invite.

2.3 You are responsible for maintaining the security of your login credentials and any credentials used to connect third-party email accounts to the Service.

2.4 Compliance Attestation. As part of registration, you will be asked to affirmatively certify that: (a) you have a lawful basis to contact every individual you upload to or send through the Service; (b) you understand that you, not Heyo, are the "sender" and "initiator" of your messages under the CAN-SPAM Act and comparable laws; and (c) you will comply with Section 4 (Acceptable Use Policy) at all times. This certification is logged and retained as part of your account record and may be relied upon by Heyo in the event of a dispute, investigation, or claim.

3. Description of Service

Heyo provides software that allows users to connect email sending accounts, automate inbox warmup, build and send outbound email campaigns, and aggregate replies into a unified inbox. Heyo is an infrastructure and software tool. Heyo does not send emails on its own initiative, does not select recipients, and does not draft message content — all of that is controlled by you, the Customer.

Heyo makes no guarantee regarding inbox placement, deliverability rates, warmup outcomes, open rates, reply rates, or any other sending performance metric. These outcomes depend on factors outside our control, including third-party spam filtering systems, your sending practices, and the quality of your recipient lists.

2.1 Heyo's Role Under Applicable Law. Heyo is a software tool that provides sending infrastructure, automation, and inbox management. Heyo does not select, generate, purchase, supply, or approve any recipient list, and does not draft, review, or approve any message content. Every decision about who to email and what to say is made exclusively by you, the Customer, using your own connected email accounts.

For purposes of the CAN-SPAM Act (15 U.S.C. § 7701 et seq.) and comparable state and federal email marketing laws, you, the Customer, are the "sender" and "initiator" of every message transmitted through your account — the message advertises your (or your client's) product or service, you control its content, and you control the recipient list. Heyo functions solely as a routing and automation tool, comparable to an email service provider (ESP), and does not itself qualify as the sender of your messages. You acknowledge and agree to this allocation of responsibility as a condition of using the Service.

4. Acceptable Use Policy

You agree that you will not use the Service to send, and will not upload lists intended to be used to send, any message that:

(a) Violates the CAN-SPAM Act, the Telephone Consumer Protection Act, state anti-spam laws, or any other applicable law governing commercial electronic messaging;

(b) Contains false or misleading header information, deceptive subject lines, or fails to accurately identify the sender;

(c) Fails to include a functioning, compliant opt-out/unsubscribe mechanism, or fails to honor opt-out requests within the timeframe required by law;

(d) Omits a valid physical postal address for the sending business, where required by law;

(e) Is sent to a recipient list that was harvested, scraped in violation of a website's terms, or obtained through deceptive means;

(f) Constitutes phishing, malware distribution, fraud, or impersonation of another person or business;

(g) Contains content that is illegal, defamatory, obscene, or infringes the intellectual property or privacy rights of a third party;

(h) Is sent in a manner intended to circumvent, deceive, or manipulate spam-filtering or inbox-placement systems in a way that violates the terms of service of the receiving mail provider (e.g., Microsoft, Google).

You represent and warrant that you have all necessary rights and legal basis to contact every individual on any list you upload or send to through the Service, and that your use of the Service complies with all laws applicable to your business and your recipients.

We reserve the right to monitor account activity for abuse indicators (spam complaint rates, blacklist appearances, bounce rates) and to suspend or terminate accounts that pose a risk to our sending infrastructure or our relationship with third-party providers, without prior notice, at our sole discretion.

5. Connected Third-Party Accounts

The Service integrates with Microsoft Exchange via the Microsoft Graph API. By connecting an account, you authorize Heyo to send, receive, and organize email on your behalf through that account. You are responsible for your own compliance with Microsoft's terms of service and acceptable use policies. Heyo is not responsible for suspension, restriction, or termination of your Microsoft accounts by Microsoft.

6. Customer Data and Lead Lists

5.1 You retain ownership of the contact lists, lead data, and campaign content you upload to the Service ("Customer Data").

5.2 You grant Heyo a limited license to process, store, and transmit Customer Data solely as necessary to provide the Service.

5.3 Heyo does not independently verify that Customer Data was collected lawfully or that recipients have consented to be contacted where consent is legally required. That responsibility rests entirely with you.

5.4 You are responsible for maintaining your own Do Not Contact list and honoring suppression requests you receive directly, in addition to any suppression handled by the Service.

7. Subscription, Billing, and Cancellation

6.1 Paid plans are billed on a recurring basis (monthly or annual, as selected) until cancelled.

6.2 Fees are based on email sending volume and/or contact storage tiers as described on our pricing page, not on the number of connected sending accounts.

6.3 Except where required by law, fees are non-refundable, including for partial billing periods.

6.4 You may cancel at any time; cancellation takes effect at the end of the current billing period.

6.5 We may change pricing with at least 30 days' notice before it applies to your next billing cycle.

8. Suspension and Termination

8.1 We may suspend or terminate your access to the Service, with or without notice, if: (a) you breach these Terms, particularly Section 4; (b) your use creates legal, regulatory, or reputational risk to Heyo or its infrastructure providers; (c) required by law; or (d) for non-payment. Upon termination, your right to use the Service ceases immediately. We may retain or delete Customer Data in accordance with our Privacy Policy.

8.2 Abuse Monitoring. Heyo monitors account-level signals — including spam complaint rates, bounce rates, and blacklist/blocklist appearances — that indicate a risk of Acceptable Use Policy violations. Accounts that exceed thresholds we set from time to time may be automatically flagged, rate-limited, placed under manual review, or suspended without prior notice, in order to protect our sending infrastructure and the deliverability of other customers.

9. Intellectual Property

Heyo and its licensors retain all right, title, and interest in the Service, including all software, design, and branding. These Terms do not grant you any rights to our trademarks or proprietary technology beyond the limited right to use the Service as intended.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR RESULT IN ANY PARTICULAR DELIVERABILITY OR SENDING OUTCOME.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEYO AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR DELIVERABILITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO HEYO IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Heyo and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Customer Data you upload; (c) the content, targeting, or legality of messages you send through the Service; (d) your violation of Section 4 (Acceptable Use Policy); (e) your violation of any applicable law or third-party right, including any claim, investigation, or enforcement action brought under the CAN-SPAM Act or comparable state/federal law arising from a message you sent through the Service; or (f) any dispute between you and a message recipient, including claims that you lacked a basis to contact them.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Nebraska, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Lancaster County, Nebraska, and you consent to personal jurisdiction there.

14. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes (e.g., via email or in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
